Boingo Wireless, Inc. provides wireless internet connectivity solutions for consumer devices.On February 26, 2021, Boingo entered into an Agreement and Plan of Merger (the “Merger Agreement”), pursuant to which Boingo will be acquired by an affiliate of Digital Colony Management, LLC. Under the terms of the Merger Agreement, the Company’s shareholders will receive $14.00 in exchange for each share of Boingo common stock they own. On March 1, 2021, Boingo issued a press release announcing the Proposed Merger.

Emergent BioSolutions Inc. provides a variety of products and solutions that address public health threats, including manufacturing for the development of new vaccines. Acadia Pharmaceuticals Inc. is a biopharmaceutical company that focuses on the development and commercialization of small molecule drugs that address unmet medical needs in central nervous system disorders. The Company is developing pimavanserin as a treatment for dementia-related psychosis and as an adjunctive treatment for schizophrenia, as well as an adjunctive treatment for major depressive disorder. Churchill Capital Corporation IV is a blank check company, also known as a special purpose acquisition company (“SPAC”).  On Monday, February 22, 2021, a merger agreement between Churchill Capital Corporation IV ("CCIV") and Lucid Motors was announced. CCIV’s and Lucid’s transaction equity value was estimated at $11.75 billion. Details of the merger disclosed that Lucid was projecting the production of only 557 vehicles in 2021, instead of the 6,000 it had allegedly been touting in the run-up to the merger announcement.
